1. About RefaireAI

RefaireAI provides an AI-powered platform that helps product owners, technicians, and partner brands diagnose, troubleshoot, and resolve issues, as well as connect with trusted third-party experts and resources (collectively, "Items"). Through the App, users can access interactive diagnostics, purchase or redeem services, and coordinate support with other users and partners (each a "Transaction"). RefaireAI may facilitate interactions between users but is typically not a party to Transactions between users unless expressly stated otherwise. We do not control or guarantee the quality, legality, or availability of user-generated content, listings, or third-party services, and we do not ensure that a buyer or seller will complete a Transaction.

The App may also surface integrations or features that allow users to manage warranties, connect to payment processors, or obtain verifications. RefaireAI acts solely as an intermediary platform provider. We may use third-party companies ("Payment Processors") to facilitate payments, and you agree to comply with the applicable Payment Processor terms. RefaireAI does not generally take title to Items, assume liability for shipments, or guarantee that a particular Item or service will meet your expectations. Users are solely responsible for their Transactions, including the accuracy of listings and the fulfillment of services. Except where prohibited by law, RefaireAI disclaims responsibility for the Items and services exchanged through the App.

REFAIREAI IS A PLATFORM THAT FACILITATES TRANSACTIONS BETWEEN USERS BUT IS NOT A PARTY TO USER AGREEMENTS UNLESS WE EXPRESSLY STATE OTHERWISE. YOU ARE SOLELY RESPONSIBLE FOR VERIFYING THE AUTHENTICITY, QUALITY, AND SUITABILITY OF ANY ITEM OR SERVICE YOU ACQUIRE THROUGH THE APP AND FOR YOUR SAFETY WHEN INTERACTING WITH OTHER USERS.

2. Using RefaireAI

You must be at least 18 years old and able to form legally binding contracts to create an account or use the App. By using the App, you represent and warrant that you meet these eligibility requirements. If you do not, you must discontinue use immediately.

When accessing or using the App, you agree to comply with these Terms, the Other Policies, and all applicable laws, rules, and regulations. You further agree that you will not:

Breach or circumvent applicable laws, regulations, or third-party rights;
Use the App if you cannot form legally binding contracts or if you are suspended or barred from using the App;
Fail to pay for Items or services purchased by you without a valid reason permitted under a RefaireAI policy;
Fail to deliver Items or services sold by you without a valid reason permitted under a RefaireAI policy;
Manipulate prices, interfere with listings, or undermine escrow or payment safeguards;
Create inappropriate listings or post content in incorrect categories;
Post false, misleading, defamatory, or illegal content;
Distribute spam, unsolicited communications, chain letters, or pyramid schemes;
Distribute viruses, malware, or other harmful technologies;
Use robots, spiders, scrapers, or other automated means to access the App without our express permission;
Circumvent any technical measures or impose an unreasonable load on our infrastructure;
Export or re-export the App except in compliance with applicable laws;
Infringe intellectual property rights belonging to RefaireAI or third parties;
Commercialize any RefaireAI application or associated information without our consent;
Harvest or collect information about users without their consent.

If we believe you are violating our policies, we may limit or suspend your account, restrict your listings, assess fees, or recover costs associated with policy enforcement. We also reserve the right to refuse, modify, or terminate all or a portion of the App to anyone for any reason.

3. Policy Enforcement

When disputes arise between users, we may consider a user's history and the specific circumstances to determine an equitable response. In appropriate cases we may choose to be more lenient to achieve a fair outcome, but we retain the right to enforce our policies, refuse access to the App, or terminate agreements at our discretion.

4. Fees and Taxes

Fees applicable to sellers and other users are described in our FAQ or Other Policies. We may change our fee structure by posting updates at least fourteen (14) days in advance. You are responsible for all fees arising out of sales you make through the App, even if the final payment is completed outside of RefaireAI. Buyers must maintain at least one valid payment method on file. Sellers must pay all fees and applicable taxes associated with their use of the App.

5. Listing Conditions

When listing an Item or service on the App, you agree to comply with these Terms and all Other Policies. Without limitation, you acknowledge that:

You are fully responsible for the Item or service offered and for the accuracy of the listing;
Listings remain active until the Item or service is sold or removed by you;
The content you provide complies with all applicable policies;
We may display sales and performance history to buyers;
AI-assisted tools may be used to help produce listing content, but accuracy is not guaranteed;
You will promptly remove listings for any recalled or hazardous products if sale is prohibited by law;
RefaireAI may publish or promote your listings within the App or through other authorized channels.

6. Purchase Conditions

When buying through the App, you agree that:

You are responsible for reviewing the full listing before committing to a purchase;
You enter into a legally binding contract when you complete a purchase or when your offer or bid is accepted;
For certain categories (such as real estate or motor vehicles), bids may signal serious interest without immediately creating a formal contract;
Legal ownership transfers directly between buyer and seller, subject to applicable laws such as UCC § 2-401(2) unless otherwise agreed.

7. International Buying and Selling

The App may be accessible worldwide. Sellers can opt to ship internationally or restrict destinations in their listing preferences. Buyers and sellers are responsible for complying with all laws related to international sales, including customs, import, and export regulations.

8. Content

You represent and warrant that you own or control all rights to the content you submit, that such content is accurate and lawful, and that its use by RefaireAI or other users in accordance with these Terms does not infringe the rights of any third party. RefaireAI assumes no liability for user content. "RefaireAI" and related marks, logos, and designs are trademarks of RefaireAI and may not be used without our prior written permission.

9. Holds and Restricted Funds

To manage risk, RefaireAI or the Payment Processors may restrict access to your funds. We do not support managed payments for offline payment methods and are not responsible for disputes related to such payments. If refunds are owed under our policies or through agreement between you and the buyer, you authorize us to issue the refund on your behalf. We are not liable for unauthorized or delayed payment transactions caused by circumstances beyond our control. You authorize us to collect any amounts you owe ("Owed Amounts"), including platform fees, royalties, refunds, taxes, or amounts paid in error.

10. Account and User Information Protection

You are responsible for safeguarding your account credentials and notifying us immediately of any unauthorized use. Sharing your account carries risk, and you remain responsible for all activity under your account even if conducted without your permission.

11. Unauthorized Use of Your Account

RefaireAI is not liable for losses resulting from unauthorized account use. To the extent permitted by law, you may be responsible for expenses and liabilities arising from your failure to safeguard account information or promptly notify us of unauthorized access.

12. No Guarantee of Access

We may withdraw or modify the App or any of its features at our discretion without notice. The App may be upgraded automatically. We are not liable if the App is unavailable at any time for any reason.

13. Use and Access Restrictions

We may refuse access to anyone for any reason and may impose restrictions consistent with our compliance policies, including anti-money laundering, anti-terrorism, and anti-fraud obligations. These restrictions can include rejecting transactions, freezing funds, or otherwise limiting access to the App. You may terminate these Terms by discontinuing use of the App.

14. Your Responsibilities Before and After Termination

RefaireAI has no obligation to retain or provide copies of your account information, user content, or communications. You are solely responsible for maintaining your own records. If you choose to export your data or credentials, you do so at your own risk.

15. Use Requirements

You agree not to:

Post content that infringes intellectual property or privacy rights;
Violate applicable laws or encourage illegal conduct;
Harass, abuse, or harm another person or group;
Share your account without permission or provide false information;
Exploit or harm minors or expose them to inappropriate content;
Automate access in a manner that burdens the App;
Copy, adapt, or create derivative works without authorization;
Reverse engineer or attempt to extract source code where prohibited;
Deploy scraping or harvesting tools without consent;
Introduce malicious code or bypass access controls;
Solicit transactions outside the App or send unsolicited promotions;
Engage in market manipulation or counterfeit distribution;
Violate sanctions or participate in unlawful financial activity;
Use the App to raise funds or issue financial instruments without permission;
Misrepresent transaction processes or disguise network activity;
Interfere with the proper functioning of the App.

We may monitor compliance to operate the App and to satisfy legal obligations. We reserve the right to remove content, disable access, or cooperate with law enforcement when appropriate.

16. Your Rights to Use the App

We grant you a limited, revocable, non-transferable, non-sublicensable, and non-exclusive license to access and use the App in accordance with these Terms and applicable laws. We reserve all rights not expressly granted.

17. User Interactions

The App allows users to interact for the purposes of coordinating Transactions. RefaireAI does not conduct criminal background checks on users and makes no representations about user conduct or identity. Exercise caution when engaging with other users and report suspicious behavior. To the fullest extent permitted by law, you release RefaireAI from claims arising from user interactions.

18. User Legal Compliance

Users are responsible for determining which laws apply to their Transactions and ensuring compliance, including licensing or registration requirements. Certain Items or services may be regulated or prohibited. You agree to indemnify RefaireAI for claims arising from your violations of applicable laws.

19. Pricing

It is free to create an account. Sellers may incur fees related to Transactions. These fees are automatically billed through your selected payment method. You authorize RefaireAI to charge applicable fees consistent with our published schedules.

20. Current Payment Information

Sellers must maintain current payment information and are responsible for any fees resulting from inaccurate or outdated details, including non-sufficient funds charges.

21. Billing Authorization

By using the App, you authorize RefaireAI and its Billing Agents to charge your payment method for fees and amounts owed. You authorize the payment method issuer to honor charges without requiring a signed receipt. If a charge is declined, you must update your payment information within seven (7) days or risk transaction cancellation.

22. Transactions

Sellers create binding offers when listing Items at a specified price. When an offer matches a buyer's bid or purchase price, a Transaction occurs and the buyer's payment method is charged, including applicable fees. Sellers must meet shipping or service delivery obligations. Payments, less applicable fees, will be transferred to sellers via the Payment Processor within the timeframes set forth in our policies.

23. Bidding, Buying, and Conditions of Sale

Auction rules, bid increments, and conditions of sale are determined by the seller unless otherwise stated. RefaireAI may intervene in an auction if it determines a bid was made in error or violates policy.

24. Seller Responsibilities for Item Transactions

Sellers must ship Items according to RefaireAI policies, ensure listings accurately describe the Items, and address non-conforming or counterfeit goods. RefaireAI may refuse to return Items that violate our policies and may report unlawful goods to authorities.

25. Buyer Responsibilities for Item Transactions

Buyers are responsible for completing payment, including fees and taxes, when placing offers or bids. By authorizing a Transaction, buyers permit RefaireAI to charge their payment method and must keep payment details current.

26. RefaireAI Responsibilities for Item Transactions

RefaireAI coordinates payments through Payment Processors and may delay or withhold funds if a dispute arises. We may request that Items be returned or issue refunds at our discretion.

27. Taxes Generally

You are solely responsible for costs and taxes arising from your use of the App. Where required, RefaireAI may collect and remit certain taxes. You are responsible for maintaining records and complying with reporting obligations.

28. Intellectual Property Ownership

RefaireAI and its licensors retain all rights, title, and interest in the App, software, technology, and intellectual property. Unauthorized use, reproduction, or distribution is prohibited.

29. Cooperation with Law Enforcement

We may cooperate with law enforcement or comply with court orders requiring disclosure of user information. You waive claims arising from actions taken in compliance with such requests.

30. Assumption of Risk

Interacting with other users carries risks. Except where prohibited, you release RefaireAI from claims arising out of communications or interactions with other users on or off the App.

31. No Warranties

The App, user content, and services are provided "as is" and "as available." To the fullest extent permitted by law, RefaireAI disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant uninterrupted or error-free operation or compliance with legal requirements.

32. Disclaimers of Liability

RefaireAI is not liable for special, consequential, incidental, indirect, exemplary, or punitive damages, including lost profits or data. We are not responsible for losses arising from user disputes, suspension of accounts, or third-party services. Some jurisdictions do not allow certain limitations, so they may not apply to you.

33. User Disputes

Disputes between users must be resolved by the parties involved. RefaireAI is not obligated to mediate and is released from claims arising from user disputes.

34. Limitation of Liability

RefaireAI's total liability to you for damages is limited to the greater of the fees you paid to RefaireAI in the twelve (12) months preceding the claim or one hundred dollars (USD $100), unless otherwise required by law.

35. Indemnification by You

You agree to indemnify and hold harmless RefaireAI and its affiliates from claims and expenses arising out of your use of the App, your user content, disputes with other users, violations of these Terms or applicable laws, or infringement of third-party rights.

36. Limitation on Time to File Claims

Any cause of action related to your use of the App must be filed within one (1) year after the claim accrues, unless prohibited by law.

37. Force Majeure

RefaireAI is not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or government actions.

38. Arbitration Agreement

Except where prohibited by law, disputes arising out of these Terms or your use of the App must be resolved through binding, individual arbitration administered by the American Arbitration Association (AAA) under the Consumer Arbitration Rules. You waive the right to participate in class or representative actions. You may opt out of arbitration within thirty (30) days of accepting these Terms by contacting us at legal@refaire.ai. Claims for public injunctive relief may proceed in court after arbitration of individual claims.

Arbitration fees will be allocated in accordance with the AAA Rules. Unless you request an oral hearing, arbitration may proceed through written submissions. Each party is responsible for its own costs and attorneys' fees, except as otherwise provided by law.

39. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of laws principles. The Federal Arbitration Act governs the arbitration clause. If arbitration is deemed unenforceable, disputes may be brought in the state or federal courts located in Delaware, and you consent to their jurisdiction.

40. Contact Information

RefaireAI Inc. is a Delaware corporation. Please send feedback, technical support requests, or other communications through our contact form or by emailing legal@refaire.ai. You grant us a perpetual, worldwide license to use feedback for any purpose without compensation.

41. Enforceability

Failure to enforce any provision of these Terms does not constitute a waiver. Any waiver must be in writing and signed by an authorized RefaireAI representative.

42. Links to Third-Party Websites, Applications, or Content

The App may include links to third-party content or integrate with third-party applications. RefaireAI is not responsible for third-party content, policies, or services, and access is at your own risk. Review the applicable terms and policies of any third-party services you use.

43. Entire Agreement & Severability

These Terms and our Privacy Policy constitute the entire agreement between you and RefaireAI regarding the App. If any provision is held invalid, the remaining provisions remain in full force and effect. Our rights survive termination of the Terms.

44. Email and Legal Notice

Communications through RefaireAI email or other channels do not constitute legal notice in situations where notice is required by contract or law, unless we expressly state otherwise.

46. Amendments to the App and These Terms

We may update the App and these Terms from time to time. Changes take effect when posted unless otherwise stated. Continued use of the App after changes become effective constitutes your acceptance. Where required by law, we will provide notice of material changes.

General Acknowledgment: By using the App, you acknowledge that you have read, understood, and agreed to these Terms.
